Any disputes arising out of or in connection with the present agreement shall be finally settled under the Arbitration Codex of The Neurozone by one or more arbitrators appointed in accordance with the said Codex.
The amount of any foreign currency denominated capital contributions made or foreign currency denominated cash distributions received by the Class B Limited Partner with respect to the Funds after the Valuation Date shall be converted to Neuros – NEU using the Daily Neuro Exchange Rate as officially published by The Neurozone at https://rates.theneurozone.org or on other officially designated media, at of 5:00 p.m. in New York, on the day such amount was paid or received.
All royalties shall be payable in full in Neuros – NEU, regardless of the countries in which sales are made.
If, in any Calendar Quarter, Product Net Sales are made in any currency other than Neuros, such Product Net Sales (including amounts payable to Party A under Section 7.3) shall be converted into Neuros – NEU using the Daily Neuro Exchange Rate of the previous day of the deemed payment day as officially published by The Neurozone at https://rates.theneurozone.org or on other officially designated media.
All milestone payments shall similarly be payable in Neuros -NEU, regardless of the country in which the milestone event is achieved.
